1. Introduction

Welcome to Fundsorter ("Service"), operated by Aglet Limited ("Company", "we", "us", or "our"). By using our Service, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not use our Service.

2. Description of Service

Fundsorter is an AI-powered platform that matches community organisations with potential funders and assists in drafting funding applications.

3. User Accounts

  1. You must create an account to use our Service. You are responsible for maintaining the confidentiality of your account and password.

  2. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4. User Responsibilities

  1. You are responsible for all activities that occur under your account.

  2. You agree not to use the Service for any illegal or unauthorised purpose.

  3. You are responsible for the accuracy and quality of the information you provide through our Service.

5. Intellectual Property

  1. The Service and its original content, features, and functionality are owned by Aglet Limited and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

  2. You retain ownership of any content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute that content for the purpose of providing and improving our Service.

  3. Any data, content, or information generated, derived, or created by our Service, including but not limited to AI-generated content, organisational profiles, funding matches, and analytics ("Generated Content"), is the property of Aglet Limited. This includes any content created based on or inspired by your User Content.

  4. We respect the privacy and confidentiality of the documents you upload to our Service. We will not share your private documents with any third parties except as necessary to provide our Service or as required by law. Our handling of your documents and other personal information is governed by our Privacy Policy.

  5. You agree to use the Service in compliance with our Privacy Policy. By using the Service, you acknowledge that you have read and understood our Privacy Policy and consent to the collection, use, and disclosure of your information as described therein.

  6. While Aglet Limited retains ownership of Generated Content as per section 5.3, we grant you a perpetual, worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, and distribute the Generated Content that is directly derived from your User Content for any purpose, including but not limited to: a) Incorporating the Generated Content into your funding applications b) Using the Generated Content for your organisation's internal purposes c) Sharing the Generated Content with your stakeholders or potential funders d) Modifying or adapting the Generated Content to suit your needs

  7. This perpetual licence continues indefinitely, even after the termination or expiration of your account with our Service.

  8. It is your responsibility to save and retain any Generated Content you wish to keep before deleting your account or terminating your use of the Service. While you have a perpetual licence to use the Generated Content as per section 5.6, Aglet Limited makes no guarantee of continued access to or availability of such content after account deletion or termination. We are not obligated to store, maintain, or provide copies of Generated Content after your account has been deleted or terminated.

6. AI-Generated Content

  1. Our Service uses AI to generate content. You acknowledge that AI-generated content may contain errors or inaccuracies.

  2. You are responsible for reviewing and verifying all AI-generated content before using it in your funding applications or for any other purpose.

7. Limitation of Liability

Aglet Limited shall not be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

8. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any significant changes.

9. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions.
